Terms of Service

1. Overview of Services

AdGenics LLC ("AdGenics," "we," "our," or "us") provides websites, AI-powered call answering, SMS notifications, and business growth services to local trades businesses and other small business clients ("Client," "you," or "your"). Specific deliverables, timelines, and pricing for any engagement are outlined in a separate service agreement or order form, which these Terms of Service supplement.

2. Acceptance of Terms

By signing up for, accessing, or using AdGenics services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services. If you are accepting these terms on behalf of a business, you represent that you have the authority to bind that business.

3. Client Responsibilities & Accurate Information

You agree to provide accurate, current, and complete information about your business — including contact numbers, service details, and any content used on your website or in automated communications — and to keep that information up to date. You are responsible for ensuring you have the right to use any content, phone numbers, and customer contact lists you provide to us, and for obtaining any consents required from your own customers before we send communications on your behalf.

4. SMS & Text Messaging Terms

By using AdGenics services, you consent to receive operational SMS text messages from AdGenics related to your account and service, including appointment bookings, emergency alerts, and job updates. The following terms apply:

  • Message frequency varies depending on your account activity, typically several messages per week.
  • Message and data rates may apply.
  • You may opt out at any time by replying STOP to any message. Reply HELP for assistance.
  • We do not sell or share your mobile number with third parties for their own marketing purposes. See our Privacy Policy for details.

5. Fees & Payment

AdGenics services are generally billed as a one-time setup fee followed by recurring monthly subscription billing, as specified in your service agreement or order form. Fees are due on the schedule stated in that agreement, and late or failed payments may result in suspension of services until payment is received. All fees are exclusive of applicable taxes unless stated otherwise.

6. Service Availability & Limitations

We work to keep our platform, websites, call answering, and messaging services available and reliable, but we do not guarantee uninterrupted, error-free, or continuous service. Services may be temporarily unavailable due to maintenance, updates, or factors outside our control, including outages of third-party providers we rely on. Services are provided on an "as-is" and "as-available" basis, and we do not guarantee specific business outcomes or results.

7. Intellectual Property

You own the content, branding, and business information you provide to us, and we use it solely to build and operate your services. AdGenics owns and retains all rights to the underlying platform, software, templates, automations, and technology we use to deliver our services, and nothing in these terms transfers ownership of that platform or technology to you. You may not reproduce, resell, or create derivative works from our platform or technology without our express written permission.

8. Term & Termination

These terms remain in effect for as long as you use AdGenics services. Either party may terminate services in accordance with the notice and cancellation terms set out in the applicable service agreement. Upon termination, your access to AdGenics-hosted services, including SMS messaging sent through our platform, will end; certain provisions of these terms — including intellectual property, limitation of liability, and governing law — survive termination.

9. Limitation of Liability

To the fullest extent permitted by law, AdGenics LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these terms or your use of our services shall not exceed the amount you paid to us in the three (3) months preceding the claim.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles. Any disputes arising from these terms or our services will be resolved in the state or federal courts located in Maryland.
